1. Agreement
These Terms of Service (“Terms”) govern your access to and use of Gatherly’s websites, dashboard, APIs, embeddable widget, and related services (the “Service”). By creating an account, embedding our script, or otherwise using the Service, you agree to these Terms.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
Our Privacy Policy explains how we handle personal data and forms part of your understanding of the Service.
2. The Service
Gatherly helps SaaS teams collect feedback, bug reports, feature requests, and conversations from end users through an embeddable widget and a customer dashboard. Features may change over time as we improve the product. We may add, modify, or discontinue functionality with reasonable notice where practical.
3. Accounts
You must provide accurate account information and keep credentials confidential. You are responsible for activity under your account and for project keys issued to you. Notify us promptly at support@gatherly.sh if you suspect unauthorized access.
You must be at least 16 years old (or the age of digital consent in your country) to create an account.
You may delete your account from the dashboard after deleting any projects you own. Deletion cancels an active Stripe subscription where applicable and removes your account. Residual copies may remain in backups for a limited period.
4. Customers and end users
You as the customer are the controller of end-user feedback and identity data collected through your embed. Gatherly is the processor of that data and will process it to provide the Service. This processing is governed by our Data Processing Agreement, which is incorporated into these Terms.
You are responsible for:
- Providing required notices and obtaining consents from end users
- Lawfully collecting and processing end-user feedback and identity data (including any claims you put in an identity JWT)
- Responding to end-user privacy and data requests for content in your inbox
- Ensuring your use of the embed complies with your site’s policies and applicable law
You must not use the Service to collect special-category personal data under GDPR (for example health, biometric, or political data), payment card numbers, or other similarly sensitive information, unless we have agreed in writing.
End users interact with your product and with the Gatherly widget you host. Gatherly does not control your product or your relationship with those end users.
5. Acceptable use
You agree not to:
- Violate law or third-party rights
- Upload malware, scrape the Service abusively, or attempt to bypass security or rate limits
- Use the Service to send spam, harassment, or unlawful content
- Reverse engineer the Service except where such restriction is prohibited by law
- Resell, sublicense, or provide the Service to third parties as a competing standalone product without our written consent
- Share project secret keys publicly or embed secrets in client-accessible code
- Impersonate others or misrepresent affiliation with Gatherly
We may suspend or terminate access for violations, abuse, or risk to the Service or other users.
6. Embed and API license
Subject to these Terms and your plan limits, we grant you a limited, non-exclusive, non-transferable, revocable license to install our embed script on properties you control and to use our documented APIs to integrate Gatherly with your product.
You must not modify the embed in a way that misrepresents Gatherly, disables security controls, or circumvents plan limits. We may update the embed and APIs; breaking changes will be communicated through docs or notices when practical.
7. Your content
You retain ownership of content you and your end users submit to the Service (“Customer Content”), including feedback text, attachments, and identity metadata you supply.
You grant Gatherly a worldwide, non-exclusive license to host, process, transmit, display, and back up Customer Content solely to provide and secure the Service, and to create de-identified or aggregated insights that do not identify you or your end users.
You represent that you have the rights needed to submit Customer Content and to grant this license.
8. Plans and billing
Paid plans are billed through Stripe according to the pricing shown at signup or in the dashboard. Fees are charged in advance for each billing period. Taxes may apply and are your responsibility unless shown otherwise.
Subscriptions renew automatically at the then-current rate until you cancel. You authorize us (via Stripe) to charge your payment method for applicable fees. You may cancel or change plans through the billing portal or dashboard tools we provide. Cancellation takes effect at the end of the current paid period: you keep paid access until then, after which the account moves to the Free plan.
If payment fails, we may keep paid features available for a limited time while Stripe retries the charge, then restrict paid features or move the account to Free. We may also suspend the Service for non-payment or abuse.
Plan limits (including projects, conversations, storage, and monthly responses) apply. We may block new usage that would exceed a limit. If you downgrade or cancel with usage above the new plan’s caps, existing projects and content generally remain accessible, but we may block creating additional projects or using paid-only features until you are within the new limits or you upgrade again.
Unless required by law or stated otherwise for a specific offer, fees are non-refundable, including for unused time in a billing period. We may change prices for future periods; we will give reasonable notice of material price changes.
9. Intellectual property
Gatherly and its licensors own the Service, including software, design, documentation, and trademarks. These Terms do not transfer ownership of our IP to you. Feedback you give us about the Service may be used freely to improve Gatherly without obligation to you.
10. Third-party services
The Service depends on third parties such as Supabase, Stripe, Resend, Vercel, and (if you choose them) Google or GitHub for sign-in. Their terms and availability may affect the Service. We are not responsible for third-party services we do not control.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATHERLY AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO GATHERLY FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. IF YOU USE A FREE PLAN, OUR TOTAL LIABILITY WILL NOT EXCEED EUR 50.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
13. Indemnity
You will defend and indemnify Gatherly against claims, damages, and expenses arising from your Customer Content, your end users’ use of the widget on your properties, your breach of these Terms, or your violation of law or third-party rights — except to the extent caused by our willful misconduct.
14. Termination
You may stop using the Service at any time and may delete your account from the dashboard. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service.
Upon termination, your license to use the embed and APIs ends. Customer Content is deleted when you delete projects and your account, subject to backup retention described in the Privacy Policy. Provisions that by nature should survive (including IP, disclaimers, limitations, and indemnity) will survive.
15. Governing law
These Terms are governed by the laws of Denmark, excluding conflict-of-law rules. Courts in Denmark have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any competent court to protect IP or confidential information. If you are a consumer in the EU/EEA, mandatory consumer protections in your country of residence still apply.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the effective date. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Service and cancel your account.
